Full Buyer Agreement
Effective Date: April 22, 2025 Buyer Agreement
This Buyer Agreement (“Agreement”) is entered into by and between General Munition LLC, a Florida limited liability company located at 2640 Causeway Center Dr, Tampa, FL 33619 (“GM”), and the individual or entity registering to purchase products on GM’s online marketplace platform (“Buyer”). Buyer must be a licensed business entity, and the individual registering represents they are an authorized representative of the Buyer and at least 18 years old (21+ for handgun ammunition). By registering an account, placing an inquiry, or purchasing any product through GM’s platform, the Buyer agrees to the following terms and conditions:
1. Nature of the Platform
1.1. GM operates a B2B online marketplace platform designed to connect verified Sellers of, but not limited to, ammunition, components, defense‐related goods, industrial equipment, and commercial products with qualified Buyers. GM may expand its scope of offerings at its discretion.
1.2. GM acts solely as an intermediary, facilitating inquiries, negotiations, and payments between Buyers and Sellers, and does not take title to any Products. GM is not a party to any contracts or disputes between Buyers and Sellers; such agreements and disputes are solely between the respective parties.
1.3. All Products are listed and sold on an ‘as-is’ basis. GM disclaims all
warranties, express or implied—including warranties of merchantability, fitness for a particular purpose, and compliance with export control laws (e.g., ITAR, EAR). The responsibility for the quality, legality, and regulatory compliance of each Product rests solely with the Seller.
1.4. GM does not inspect or verify the physical condition or accuracy of any Product information provided by Sellers. It is the Buyer’s responsibility to conduct due diligence prior to purchase, which includes: (a) verifying the accuracy of product specifications, descriptions, and images; (b) ensuring the product complies with all applicable laws, including ITAR, EAR, ATF regulations, and U.S. sanctions; and (c) confirming possession of any necessary licenses, permits, or certifications required to purchase, possess, or transport the product. Buyers assume all risks associated with failing to perform such due diligence.
2. Buyer Eligibility and Compliance
2.1. Buyer represents that they are a licensed business entity and that the individual registering is an authorized representative who is at least 18 years old.
2.2. Buyer represents and warrants that they are legally permitted to purchase and possess the products listed on the GM platform under all applicable local, state, federal, and international law.
2.3. Buyer agrees to comply with all applicable laws, including, without limitation, the Gun Control Act, National Firearms Act, ATF regulations, ITAR, EAR, DOT regulations, and U.S. sanctions (e.g., those administered by OFAC and listed on the SDN List). Buyer shall not use the GM platform to purchase items for resale, export, or delivery to sanctioned entities, embargoed countries, or prohibited persons under U.S. law, and must not export, re-export, or transfer any controlled items without the required government approvals. Buyer represents and warrants that they are not, and are not acting on behalf of, any prohibited party under U.S. sanctions. Buyer shall immediately notify GM if there is any suspicion that a transaction involves a sanctioned party or jurisdiction. Failure to comply may result in account suspension, termination, and liability for any incurred penalties or damages.
2.4. GM will verify the Buyer’s identity, business affiliation, licensing status, and end-user intent before granting access to restricted listings. GM may request business credentials, certifications, or other documentation at its discretion.
3. Product Inquiries and Purchases
3.1. All inquiries and negotiations between Buyers and Sellers shall be facilitated by GM. Negotiations may occur via the GM platform, phone, email, or text, through an authorized GM representative. Any direct communication between a Buyer and a Seller outside of such GM-facilitated channels is permitted only if expressly approved by GM or is deemed necessary for inspection or pickup arrangements, and must thereafter be documented by GM.
3.2. Buyer is solely responsible for reviewing all product descriptions, specifications, and images provided by the Seller prior to completing any purchase.
3.3. Buyer acknowledges that they have had the opportunity to request any necessary inspections, certifications, or supporting documentation prior to purchase and, by completing a transaction, waive any further rights to additional inspections unless otherwise agreed in writing before the sale.
3.4. Unless otherwise expressly stated in writing, all sales are final and non-returnable.
3.5. “Initiated” means any inquiry, introduction, or communication between a Buyer and Seller that is facilitated by GM—whether on the platform or through GM representatives via phone, email, or text—that results in a transaction within two (2) years of the initial inquiry.
3.6. Buyer agrees to promptly notify GM if a purchase is made directly with a Seller introduced by GM. Notification must be provided in writing within 72 hours of the off-platform sale. If GM identifies such circumvention, GM shall be entitled to receive its full commission as if the transaction had occurred through the platform, in addition to an extra penalty of 10% of the transaction value and potential account suspension or termination. Prior to imposing any penalty, GM will notify the Buyer and provide an opportunity to respond. This provision shall survive the termination of this Agreement.
3.7. In auctions, placing a bid constitutes a binding agreement to purchase the item if the bid is the highest and meets or exceeds the reserve price at auction close. Failure to complete payment within the required timeframe may result in penalties as detailed in the Auction Terms Addendum.
4. Payments and Transactions
4.1. GM facilitates payments between Buyers and Sellers as a neutral intermediary. GM will collect funds from the Buyer, deduct any applicable fees or commission, and remit the net proceeds to the Seller. Buyers are not authorized to pay Sellers directly unless explicitly approved in writing by GM. GM does not act as a trustee or escrow agent; funds are held only temporarily for the purpose of facilitating transactions.
4.2. Buyer agrees not to circumvent GM by purchasing directly from any Seller introduced through GM’s platform, listings, staff, or marketing efforts.
4.3. In the event of a payment dispute, chargeback, or reversal, the Buyer shall remain responsible for the full purchase amount, unless a different arrangement is expressly agreed to in writing by GM.
5. Shipping and Risk of Loss
5.1. Shipping Arrangements. Shipping arrangements may be made by the Seller, Buyer, GM, or an approved third-party logistics provider, as mutually agreed upon at the time of sale. GM may assist in coordinating shipping as a courtesy but is not responsible for selecting the carrier or ensuring the performance of any shipping service.
5.2. Risk Transfer. The risk of loss or damage to the item transfers to the Buyer upon pickup by the Buyer or shipment by the Seller—whichever occurs first—regardless of which party arranges shipping.
5.3. Liability. GM shall not be liable for any delays, damages, misdelivery, or losses incurred during shipping, regardless of whether GM assisted in arranging the carrier. GM acts solely as a facilitator and does not become a party to the shipping contract. All risks and liabilities associated with shipping shall remain with the Seller, Buyer, or the designated carrier, as applicable. Shipping insurance, if desired, must be arranged and paid for by the Seller or Buyer, as agreed between them.
6. Confidentiality and Code of Conduct
6.1. All communications, inquiries, pricing information, and Seller data accessed through the GM platform are confidential and shall not be used by Buyers for any purpose other than facilitating transactions on the platform. Such information may not be utilized for solicitation, resale, or competitive purposes without GM’s prior written consent.
6.2. Buyers agree to conduct themselves in a good-faith, professional, and lawful manner while using the GM platform. This includes, but is not limited to:
(a) Communicating respectfully with GM staff and Sellers;
(b) Placing inquiries and bids only with genuine purchasing intent;
(c) Refraining from fraudulent chargebacks, impersonation, deceptive practices, or any actions that could disrupt platform operations or undermine its integrity.
GM reserves the right to restrict, suspend, or terminate Buyer access to the platform for any violation of this Code of Conduct or the confidentiality obligations set forth herein, and any such violation may subject the Buyer to additional legal remedies.
7. Limitation of Liability and Indemnity
7.1. GM does not guarantee the accuracy, legality, or condition of any products listed.
7.2. Buyer agrees to indemnify, defend, and hold harmless GM, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising from: (i) Buyer’s use of the platform; (ii) Buyer’s purchase, transport, or use of any product; (iii) violation of any law or regulation.
7.3. GM shall not be liable for indirect, incidental, punitive, or consequential damages arising from any transaction or use of the platform.
7.4. GM does not guarantee Seller performance, delivery, or product condition, and is not liable for Seller non-performance, missed delivery, or refusal to refund. All disputes between Buyer and Seller shall be resolved directly between the parties. At its sole discretion, GM may offer assistance in resolving such disputes, including pursuing reimbursement from the Seller. If GM provides assistance, both Buyer and Seller agree to abide by GM’s final decision, which shall be binding on both parties. Any refund to the Buyer is contingent on successful recovery of funds from the Seller.
7.5. GM’s total liability for any claim shall not exceed the commissions earned from the transaction in question.
8. Audit Rights and Data Usage
8.1. GM reserves the right to audit Buyers at any time to confirm compliance with this Agreement. In connection with such audits, Buyers agree to promptly furnish any documentation or information reasonably requested by GM, not to exceed ten (10) business days from the request date.
8.2. GM may collect, analyze, and utilize anonymized or aggregate data derived from Buyer activity, including searches and transaction records, for internal analytics, operational improvements, and market insights. No personally identifiable or competitively sensitive Buyer data shall be disclosed or made public without the Buyer’s prior express consent, in accordance with GM’s privacy policy.
8.3. All information obtained in connection with any audit shall be treated as confidential and used solely for the purpose of verifying compliance with this Agreement.
9. Termination
9.1. GM may, at its sole discretion and with or without cause, suspend or terminate Buyer access to the GM platform immediately and without prior notice.
9.2. Termination of Buyer access shall not relieve the Buyer of any payment obligations, liabilities, or accrued responsibilities incurred prior to the termination date.
9.3. Notwithstanding termination, the provisions relating to compliance, confidentiality, indemnification, liability, and dispute resolution shall survive and continue in full force and effect.
10. Governing Law and Dispute Resolution
10.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
10.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, its breach, termination, or validity, shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Sarasota County, Florida, unless the parties mutually agree to an alternative location.
10.3. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its confidential information or intellectual property rights.
10.4. The arbitration award shall be final and binding, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
11. Force Majeure
11.1. Neither party shall be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure is due to causes beyond its reasonable control, including, without limitation, acts of God, natural disasters, war, terrorism, labor disputes, government orders or restrictions, supply chain disruptions, pandemics, or any other force majeure event.
11.2. The party affected by a force majeure event shall promptly notify the other party in writing, specifying the nature of the event and the expected duration of the delay.
11.3. If the force majeure event persists for more than sixty (60) days, either party may terminate this Agreement without incurring any liability for
non-performance of its obligations, except for payment obligations accrued prior to the termination date. Notwithstanding the foregoing, any payment obligations that have accrued before the onset of the force majeure event shall remain due and payable.
12. Data Security and Privacy
12.1. GM implements reasonable technical and organizational measures to protect Buyer data, including inquiries, communications, and transaction details, from unauthorized access, loss, or disclosure. However, Buyer acknowledges that no system is entirely secure, and GM is not liable for unauthorized access beyond its reasonable control.
12.2. Buyer agrees to maintain the security of their account credentials and promptly notify GM of any suspected unauthorized access or breach. Buyer is responsible for any activity conducted through their account.
12.3. Buyer consents to GM collecting, storing, and processing their business data (e.g., inquiries, transaction details) as necessary to operate the platform and comply with legal obligations. GM’s use of such data is governed by its Privacy Policy, available on the platform.
12.4. Buyer shall not disclose, misuse, or harvest any Seller data (e.g., pricing, contact details) accessed through GM for purposes unrelated to the
transaction, including marketing or competitive activities. Violations may result in account suspension or termination.
12.5. In the event of a data breach affecting Buyer data, GM will notify Buyer promptly, as required by applicable law, and cooperate in mitigating any harm, but shall not be liable for damages unless caused by GM’s gross negligence or willful misconduct.
13. Acceptance
13.1. By registering an account, submitting a product inquiry, or otherwise using the GM platform, the Buyer unequivocally agrees to be bound by all the terms and conditions of this Agreement. Introduction
Welcome to General Munition LLC (“GM,” “we,” “us,” or “our”). These Platform Terms of Service (“Terms”) govern your access to and use of generalmunition.com (“Website” or “Site”), as well as your participation in our B2B marketplace for ammunition manufacturers and suppliers. By accessing or using the Website or our services, you agree to be bound by these Terms, our Privacy Policy, and any applicable agreements (e.g., Seller Agreement, Buyer Agreement, Auction Terms Addendum). If you do not agree, please do not use our Website or services.
GM operates as an intermediary, facilitating transactions between Sellers and Buyers, including through auctions. Specific terms for Sellers, Buyers, and auction Participants are outlined in the Seller Agreement, Buyer Agreement, and Auction Terms Addendum, respectively. These Terms supplement those agreements and apply to all users.
We may update these Terms at any time by posting changes on the Website. Continued use after changes constitutes acceptance. Check this page periodically for updates.
Eligibility
To access or use the Website or our services, you must be a licensed business entity, and the individual acting on your behalf must be an authorized representative at least 18 years old. For handgun ammunition or certain products, federal law requires users to be at least 21 years old. You represent and warrant that you meet these requirements and comply with all applicable laws, including ITAR, EAR, ATF regulations, and U.S. sanctions (e.g., OFAC, SDN List). GM reserves the right to request proof of age or business status and deny service to users who do not meet these requirements.
You further represent and warrant that:
- You have no indictments or convictions for any crime with a potential sentence exceeding one year.
- You are not a fugitive from justice, an unlawful user of controlled substances, declared mentally unfit, or committed to a mental institution.
- You are not an illegal alien, under a domestic violence restraining order, or convicted of a misdemeanor crime of domestic violence. You are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, nor are you listed on any U.S. Government list of prohibited parties.
User Compliance
You agree to use the Website and our services responsibly and in compliance with all applicable laws, including export control regulations (e.g., Export Control Reform Act, Export Administration Regulations, ITAR). You will not use products or services for resale or export without proper authorization.
Compliance with these laws is your sole responsibility, and GM is not liable for any violations.
Website Usage and Intellectual Property
GM grants you a limited, non-exclusive, non-transferable license to access and use the Website for business purposes related to our marketplace, provided you do not modify, copy, distribute, or create derivative works from the Website or its content without prior written permission. You may not:
- Use robots, spiders, or other automated means to monitor or copy the Website.
- Engage in scraping, mirroring, or other unauthorized use of the Website content.
- Introduce viruses, disable features, or otherwise disrupt the Website’s functionality.
- Remove or alter copyright, trademark, or other proprietary notices.
The Website and its content are protected by copyright, trademarks, and other intellectual property laws. Unauthorized use may violate these laws and result in legal action, including cooperation with law enforcement. GM reserves the right to revoke access to the Website for any violations.
Content Disclaimer
The information on the Website is provided for general purposes only and is not intended as legal or professional advice. GM does not guarantee the accuracy, completeness, or timeliness of the Website content, which is provided “as-is” and “as available.” You are responsible for ensuring compliance with all applicable laws regarding the purchase, possession, and use of products listed on the Website. GM is not liable for any legal consequences arising from your use of the Website or products.
Platform Transactions
GM facilitates transactions between Sellers and Buyers, including through auctions, but does not take title to products. All transactions are subject to the applicable Seller Agreement, Buyer Agreement, or Auction Terms Addendum. Products are sold “as-is,” with no warranties from GM. Any manufacturer warranties are the responsibility of the Seller and manufacturer, and GM may, at its discretion, assist in contacting the manufacturer but is not obligated to do so.
Payment
You agree to pay all charges at the prices in effect for your purchases, including applicable shipping fees and taxes. GM accepts payments via Wire, ACH, and most major Credit Cards. GM facilitates payments through third-party providers and does not store payment information. Any payment disputes must be resolved with the payment provider. GM collects payments, deducts commissions, and remits net proceeds to Sellers, as outlined in the applicable agreements.
Order Cancellations
You may request to cancel an order within 48 hours of placement by contacting sales@generalmunition.com. Cancellations are not permitted if the order has been processed (typically within 3 hours) or shipped. GM reserves the right to cancel orders for non-compliance with these Terms or applicable agreements, charging a cancellation fee of $30.00 or 5% of the total purchase amount, whichever is greater.
Returns
All sales are final, including ammunition components, machines, and other merchandise. GM does not accept returns but is committed to addressing concerns. Contact sales@generalmunition.com for assistance.
Shipping
GM ships products in compliance with federal, state, and local laws, as well as shipping provider policies. Risk of loss transfers to the Buyer upon pickup or shipment, whichever occurs first. GM is not liable for delays, damages, misdelivery, or losses during shipping, regardless of whether GM assisted in arranging the carrier. Shipping insurance, if desired, must be arranged and paid for by the Seller or Buyer.
GM does not ship ammunition to Alaska, California, Connecticut, Hawaii, Illinois, Massachusetts, New Jersey, New York, Washington D.C., any U.S. territory, or foreign country — unless the buyer is a licensed entity authorized to receive ammunition in that jurisdiction.
Shipping charges are applied per order and displayed at checkout. GM may consolidate multiple orders into a single shipment without refunding shipping charges.
Scrap Ammo Pickup: If you have scrap ammo palletized and ready for pickup, GM can arrange pickup within one day. Liftgate Requirement: You must inform GM at the time of order placement if a liftgate is required for pickup or delivery. Failure to do so may result in delivery issues, and any additional charges (e.g., rescheduling, handling fees) are your responsibility.
Most orders ship within 3 business days, but lead times are estimates and not guaranteed. You will receive tracking information upon shipment.
Damage Claims
Inspect all packages at delivery. If damage is noticed:
- At delivery, note it on the driver’s receipt before signing.
- After unpacking, retain the box and packing materials for carrier inspection.
Report damages immediately to support@GMus.com (at delivery) or the carrier (after unpacking) for claims processing. Take photos/videos of damages.
GM is not liable for damages during shipping or manufacturing and acts only as a facilitator in the claims process.
Typographical Errors and Pricing Inaccuracies
GM reserves the right to cancel orders with incorrect pricing, even if confirmed or charged. If charged, GM will issue a credit for the incorrect amount. GM is not responsible for errors, omissions, or inaccuracies in product descriptions, pricing, or availability.
Special Promotions
GM may offer special promotions (e.g., bulk discounts, clearance sales) for limited periods, subject to additional terms communicated at the time of the promotion.
Limitation of Liability
GM is not liable for indirect, incidental, special, or consequential damages arising from your use of the Website or services, including damages for loss of profits, data, or other intangibles, even if advised of the possibility of such damages. GM’s total liability for any claim shall not exceed the commissions earned from the transaction in question or $50 for website usage claims, whichever is applicable.
Indemnification
You agree to indemnify, defend, and hold harmless GM, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including attorneys’ fees) arising from your violation of these Terms, applicable agreements, or any laws, including negligent or wrongful conduct.
Force Majeure
Neither party shall be liable for delays or failures due to causes beyond their reasonable control, including acts of God, natural disasters, war, government actions, or other force majeure events. The affected party must notify the other within 10 days, make diligent efforts to remedy the issue, and resume performance as soon as practicable. If the delay persists for 30 days, either party may terminate upon 30 days’ written notice.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida. Any disputes shall be resolved through binding arbitration in Hillsborough County, Florida, per the rules of the American Arbitration Association, except for injunctive relief to protect confidential information or intellectual property, which may be sought in court.
Assignment
You may not assign your rights or delegate your obligations under these Terms without GM’s prior written consent. Any unauthorized assignment is void.
No Third-Party Beneficiaries
These Terms are for the sole benefit of you and GM and do not confer rights on third parties.
No Waivers
GM’s failure to enforce any provision of these Terms does not constitute a waiver. Any waiver must be in writing and signed by GM.

Data Security Encryption Compliant with ITAR Requirements
At GM, we prioritize the security of your personal information and adhere to stringent data protection standards, including those set forth by the International Traffic in Arms Regulations (ITAR).
We employ the Advanced Encryption Standard (AES) with a 256-bit key length (AES-256) for encrypting your data. This encryption standard is not only globally recognized for its strength but also meets and exceeds the ITAR requirement of a minimum 128-bit security strength. The AES-256 encryption is certified by the U.S. National Institute for Standards and Technology (NIST) and complies with the Federal Information Processing Standards Publication 140-2 (FIPS 140-2).
In line with ITAR regulations, we ensure that our data, particularly when stored or transmitted in the cloud, is protected with end-to-end encryption (E2EE). This means that your data remains encrypted from its point of origin until it reaches its intended recipient, without being decrypted at any intermediary stage. Additionally, in compliance with ITAR, the means of decryption are exclusively controlled by us and are not provided to any third party.
ITAR Access Restrictions
To comply with ITAR regulations, access to controlled technical data is strictly limited to U.S. persons/entities and is not accessible to foreign nationals unless explicitly authorized by the U.S. State Department. Unauthorized access or sharing of ITAR-controlled data is strictly prohibited.
GM prohibits the sharing, transmission, or export of ITAR-controlled technical data related to ammunition, ammunition components, or manufacturing processes. Users must not post, transmit, or share any
ITAR-restricted data on the platform without prior authorization from the U.S. Department of State. Any violation of ITAR regulations may result in account suspension and legal action.
ITAR-Compliant Cloud Storage
Controlled technical data stored in cloud environments is secured in compliance with ITAR, ensuring restricted access only to U.S. persons/entities. We work exclusively with ITAR-Compliant cloud service providers that meet ITAR security requirements to prevent unauthorized foreign access. These providers implement strict access controls, encryption protocols, and monitoring systems to safeguard restricted data.
Our data management and security are facilitated through ITAR-Compliant cloud storage solutions, including Zoho, which employs AES-256 encryption to safeguard your information. By utilizing these compliant providers, we ensure that technical data remains protected from unauthorized access and meets federal security standards.
While we deploy state-of-the-art security measures to protect your data, please be aware that no method of electronic storage or transmission over the internet is 100% secure. Therefore, while we strive for the highest level of data protection, absolute security cannot be guaranteed.
Data Retention Policy
We retain personal data only as long as necessary to:
- Fulfill the purpose for which it was collected (e.g., processing transactions, providing services).
- Comply with legal and regulatory requirements (e.g., ATF record-keeping obligations, which may require retaining transaction data for up to 5 years).
- Resolve disputes and enforce agreements.
After this period, we securely delete or anonymize your data. For example, account data is retained for 5 years after account closure to comply with legal requirements, unless a longer retention period is mandated by law.
